CREATOR REPRESENTATION AGREEMENT (Effective upon clicking "I Agree" below) This Creator Representation Agreement ("Agreement") is entered into between Purposeful Profits Ltd, a company registered in England and Wales (company number 14802091), registered office at 4th Floor, Silverstream House, 45 Fitzroy Street, London W1T 6EB ("PP", "Agency", "we", "us") and the individual or entity named below ("Creator", "you"). By clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by this Agreement. 1. DEFINITIONS 1.1 "Brand Partnership" means any paid content, whitelisting, partnership advertising, or affiliate arrangement between Creator and a brand ("Brand"), introduced or facilitated by PP. 1.2 "Whitelisting Access" means account-level permission granted by Creator to a Brand, through Meta's Partnership Ads Hub, a TikTok Spark Ads authorisation code, or an equivalent native platform mechanism, allowing the Brand to run paid advertising using Creator's handle as the declared publisher. 1.3 "Commission" means the percentage of Gross Deal Value payable to PP, as set out in Schedule 1 of the full Agreement. 1.4 "Gross Deal Value" means the total fee, whitelisting fee, or ad-spend-linked payment payable by a Brand for a Brand Partnership, before deduction of Commission. 2. APPOINTMENT AND TERM 2.1 Creator appoints PP as a non-exclusive representative to source, negotiate, and manage Brand Partnerships, including whitelisting and partnership advertising arrangements. 2.2 This Agreement is non-exclusive. Creator remains free to accept brand deals sourced independently, or through any other agency, without obligation to PP, except as set out in Section 8 (Non-Circumvention). 2.3 Initial term: 12 months from the Effective Date, renewing automatically for successive 12-month periods unless either party gives 30 days' written notice before the renewal date. 2.4 Either party may terminate this Agreement for convenience on 30 days' written notice. Termination does not affect Brand Partnerships already agreed before the notice date. 3. SCOPE OF REPRESENTATION 3.1 PP will use reasonable efforts to identify, pitch, and negotiate Brand Partnership opportunities for Creator. 3.2 PP will not commit Creator to any Brand Partnership without Creator's prior written approval of the Brand, fee, and key terms. 3.3 PP will invoice the Brand directly, collect payment, and remit Creator's net share per Section 6. 3.4 PP does not guarantee any minimum number of Brand Partnerships or any level of income. 4. CREATOR OBLIGATIONS 4.1 Creator will respond to requests for approval, access, or content within 2 business days where reasonably possible. 4.2 Where a Brand Partnership includes Whitelisting Access, Creator will grant that access within 5 business days of written confirmation, and will not revoke it early except for material breach. 4.3 Creator will maintain their account(s) in good standing for the duration of any live Whitelisting Access. 4.4 Creator will comply with UK ASA influencer marketing guidance and, where applicable, FTC disclosure requirements, including clear #ad or #partnership disclosure. 4.5 Creator confirms they hold all rights necessary to grant Whitelisting Access and any content usage rights included in a Brand Partnership. 5. PLATFORM AND CAMPAIGN RISK 5.1 Creator acknowledges that once Whitelisting Access is granted, the relevant platform may take enforcement action (restriction, suspension, ban) arising from the Brand's use of that access, and PP is not liable for that platform's decisions. 5.2 PP does not guarantee any level of reach, engagement, sales, or other performance outcome from a Brand Partnership. 5.3 Creator may revoke Whitelisting Access immediately, without penalty, if the Brand breaches platform policy, the agreed terms, or applicable law. 6. COMMISSION AND PAYMENT 6.1 PP's Commission on each Brand Partnership is set out in Schedule 1 of the full Agreement, calculated on Gross Deal Value. Default rate: 20%. 6.2 PP will invoice the Brand, and on receipt of cleared funds, remit Creator's net share within 10 business days. 6.3 All amounts are exclusive of VAT. Creator is responsible for their own tax position. 7. CONTENT, USAGE RIGHTS, AND APPROVALS 7.1 Creator retains ownership of all content created. Each Brand Partnership separately specifies usage rights granted to the Brand. 7.2 Creator has the right to review and approve ad copy or edited content before it goes live, where the platform's tools reasonably allow it. 8. NON-CIRCUMVENTION 8.1 Where PP introduces Creator to a Brand, Creator will not negotiate or contract with that Brand outside this Agreement for 12 months from the introduction or termination of this Agreement, whichever is later. 8.2 This restriction applies only to Brands PP actually introduces. It does not restrict Creator's existing or independently sourced relationships. 9. INDEPENDENT CONTRACTOR STATUS 9.1 Creator is an independent contractor. Nothing in this Agreement creates employment, partnership, or joint venture beyond the non-exclusive representation in Section 3. 10. CONFIDENTIALITY 10.1 Both parties will keep confidential any commercial terms or unreleased campaign material shared under this Agreement. 11. TERMINATION 11.1 Either party may terminate for convenience on 30 days' written notice. 11.2 On termination, Creator must revoke any live Whitelisting Access unless a Brand Partnership's agreed term has not yet expired. 12. DISPUTE RESOLUTION AND GOVERNING LAW 12.1 This Agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. 13. GENERAL 13.1 This is the entire agreement between the parties on this subject. Variations must be agreed in writing. Full signed copy, including Schedule 1 commercial terms, is provided separately for your records once this step is complete.
